1 Acceptance of Terms

By visiting ethiocore.com or engaging EthioCore Technology Solutions PLC ("EthioCore", "we", "us") for consulting services, you confirm that you have read, understood, and agree to these Terms of Service and our Privacy Policy. If you do not agree, please discontinue use of our website and services immediately.

These terms apply to all visitors, enquirers, and clients, including organisations represented by an authorised individual who accepts these terms on their behalf.

2 Services

EthioCore provides professional data center consulting services including, but not limited to:

• Data center design and architecture
• Infrastructure assessment and auditing
• Project management and commissioning
• Cloud and hybrid infrastructure planning
• Security, compliance, and risk advisory
• Managed and operations support services

The specific scope, deliverables, timelines, and fees for each engagement are defined in a separate Statement of Work (SOW) or Service Agreement executed between EthioCore and the client. In the event of conflict between these Terms and a SOW, the SOW shall prevail.

3 Client Obligations

To enable effective delivery of our services, clients agree to:

• Provide accurate, complete, and timely information required for the engagement
• Grant reasonable access to facilities, systems, and personnel as agreed in the SOW
• Designate an authorised point of contact with decision-making authority
• Review and approve deliverables within agreed timelines
• Ensure all third-party consents and permits required for the project are obtained
• Comply with all applicable laws and regulations in connection with the services

4 Intellectual Property

EthioCore's Property

All methodologies, tools, templates, frameworks, and pre-existing materials used by EthioCore in delivering services remain the exclusive intellectual property of EthioCore. Nothing in these Terms transfers ownership of such materials to the client.

Deliverables

Upon full payment, EthioCore grants the client a non-exclusive, non-transferable licence to use deliverables produced under a SOW for the client's internal business purposes. EthioCore retains the right to use anonymised or aggregated data from engagements for internal training and improvement.

Website Content

All content on ethiocore.com — including text, graphics, logos, and images — is the property of EthioCore and protected by applicable copyright laws. Reproduction or redistribution without written permission is prohibited.

5 Confidentiality

Both parties acknowledge that they may receive confidential information during an engagement. Each party agrees to:

• Keep confidential information strictly confidential
• Use it only for the purposes of the engagement
• Not disclose it to third parties without prior written consent
• Apply at least the same degree of care as applied to their own confidential information

These obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law or regulatory authority. Specific confidentiality obligations may be further defined in a Non-Disclosure Agreement (NDA).

6 Payment Terms

Unless otherwise specified in a SOW:

• Invoices are due within 30 days of the invoice date
• A deposit of 30–50% may be required before commencement of work
• Late payments may incur interest at 1.5% per month on the outstanding balance
• EthioCore reserves the right to suspend services for overdue accounts
• All fees are exclusive of applicable taxes, which are the client's responsibility

7 Limitation of Liability

To the maximum extent permitted by applicable law:

• EthioCore's total liability for any claim arising from these Terms or a SOW shall not exceed the total fees paid by the client in the three months preceding the claim
• EthioCore shall not be liable for indirect, consequential, incidental, or punitive damages, including loss of profits or data
• EthioCore is not liable for delays or failures caused by events beyond our reasonable control (force majeure), including natural disasters, power failures, government actions, or civil unrest

8 Warranties & Disclaimers

EthioCore warrants that services will be performed with reasonable care and skill by qualified professionals. We do not warrant that:

• Our website will be uninterrupted, error-free, or free from viruses
• Recommendations will guarantee specific outcomes, as results depend on implementation and third-party factors outside our control
• Information on our website is always current or complete

All other warranties, express or implied, are disclaimed to the fullest extent permitted by law.

9 Termination

Either party may terminate a service engagement by providing written notice as specified in the relevant SOW. Upon termination:

• The client shall pay for all services rendered up to the termination date
• Each party shall return or destroy the other's confidential information
• Provisions relating to intellectual property, confidentiality, payment, and liability shall survive termination

EthioCore may immediately terminate access to website services for breach of these Terms without prior notice.

10 Governing Law

These Terms are governed by the laws of the Federal Democratic Republic of Ethiopia. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Addis Ababa, Ethiopia, unless otherwise agreed in writing.

For international clients, the parties may agree in a SOW to alternative dispute resolution mechanisms, including arbitration under internationally recognised rules.

11 Changes to Terms

EthioCore reserves the right to update these Terms at any time. Material changes will be communicated via our website with a revised effective date. Continued use of our website or services after changes are published constitutes acceptance of the updated Terms. We recommend reviewing this page periodically.
